By accessing or using Steadfast Local (the "Service"), operated by Steadfast Creative LLC ("Steadfast Creative," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users, including clients, agency staff, and any individual who accesses the Service on behalf of a business.
Steadfast Local is a Google Business Profile management platform that enables businesses and agencies to create, schedule, and publish content to Google Business Profile, manage reviews, and generate AI-assisted captions and responses. Features include AI caption generation, image management, review management, and publishing analytics.
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.
You agree to use the Service only for lawful business purposes. You represent and warrant that:
The Service integrates with Google Business Profile via the Google Business Profile API. By connecting your Google account, you authorize Steadfast Creative to act on your behalf to publish content, access reviews, and manage your GBP location as directed by your use of the Service.

The Service uses artificial intelligence to assist with caption and response generation. You acknowledge that:
Program name: Steadfast Social Review Requests. The Service enables local business staff to send one-time SMS review request messages to customers via Twilio after completing a service. Use of this feature is subject to the following:
Steadfast Creative LLC is not liable for carrier filtering, delivery failures, or regulatory violations arising from your use of the SMS feature. You indemnify Steadfast Creative against any claim arising from messages you send.
By uploading images and content to the Service, you grant Steadfast Creative a limited, non-exclusive license to store, process, and transmit that content solely for the purpose of providing the Service. We do not claim ownership of your content. We do not sell or share your content with third parties except as necessary to provide the Service (e.g., publishing to your connected Google Business Profile).
Service fees are established in a separate agreement or subscription arrangement between you and Steadfast Creative. Failure to maintain current payment may result in suspension of Service access. All fees are non-refundable unless otherwise agreed in writing.
All software, design, code, and materials comprising the Service are the intellectual property of Steadfast Creative LLC or its licensors. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.
Both parties agree to keep confidential any non-public information disclosed in connection with the Service, including client business data, content strategies, and account credentials. This obligation survives termination of these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. STEADFAST CREATIVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STEADFAST CREATIVE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
In no event shall our total liability to you exceed the greater of (a) the amount you paid to us in the three months preceding the claim or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless Steadfast Creative LLC, its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your access to the Service immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes.
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.
We reserve the right to update these Terms at any time. We will notify active users of material changes by email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in Connecticut, except that either party may seek injunctive relief in a court of competent jurisdiction.
These Terms, together with any separate written service agreement, constitute the entire agreement between you and Steadfast Creative LLC regarding the Service and supersede all prior agreements, representations, or understandings.
